1. Acceptance of Terms

Welcome to RentX Rewards Ltd ("App", "Platform", "Service", "we", "us", or "our"). By downloading, installing, accessing, or using the RentX Rewards mobile application and related services, you ("User", "you", or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms constitute a legally binding agreement between you and RentX Rewards Ltd. (Registration Number: [Insert], Registered Office: [Insert Address], Bangladesh).

2. Definitions

App: The RentX Rewards mobile application available on Google Play Store
User/Tenant: An individual who uses the App to pay rent and earn reward points
Landlord: Property owner or authorized representative receiving rent payments
Merchant: Partnered business where reward points can be redeemed
Partner Bank: Financial institution partnered with RentX for payment processing
Reward Points: Virtual points earned through rent payments, redeemable at Merchants
Service: Rent payment services and discount (coupon) services.

3. Eligibility

To use RentX, you must:

• Be at least 18 years old
• Be a resident of Bangladesh or have a valid Bangladeshi bank account
• Have the legal capacity to enter into contracts
• Provide accurate and complete information during registration
• Maintain an active Bangladeshi mobile number

4. Account Registration and Security

1. You must register using your valid mobile number and complete the verification process.
2. You are responsible for maintaining the confidentiality of your account credentials.
3. You agree to immediately notify RentX of any unauthorized use of your account.
4. RentX reserves the right to suspend or terminate accounts with incomplete or inaccurate information.

5. Rent Payment Services

1. Payment Processing: RentX facilitates rent payments through Partner Banks. We are not a bank and do not hold funds.
2. Payment Authorization: You authorize RentX to share necessary information with Partner Banks.
3. Payment Responsibility:
   • Sufficient funds in your bank account
   • Accurate landlord and payment details
   • Timely payment submission
4. Payment Disputes: Must be resolved directly between tenant and landlord.
5. Service Fees: Currently free for tenants, subject to future change with notice.

6. Reward Points System

1. Earning Points:
   • Points earned on successful rent payments
   • Calculation: [Insert formula]
   • Credited within 24–48 hours
   • Rules may change with 30 days’ notice
2. Point Validity: 12 months unless otherwise specified.
3. Point Redemption:
   • Redeemable only at partner merchants
   • Minimum thresholds may apply
   • Non-cash, non-transferable
4. Point Adjustment: Fraudulent or erroneous points may be deducted.

7. Merchant Redemptions

7.1 Redemption Process: Points redemption is subject to Merchant availability and terms.

7.2 Merchant Terms: Additional terms and conditions of individual Merchants apply to redemptions.

7.3 Disputes: RentX is not responsible for disputes regarding product quality, service delivery, or Merchant conduct.

7.4 Merchant Changes: RentX may add, remove, or change Merchants without prior notice.

8. User Conduct and Prohibitions

You agree NOT to:

• Use the Service for illegal purposes
• Create multiple accounts for fraudulent purposes
• Manipulate the reward points system
• Reverse engineer, decompile, or hack the App
• Use automated systems/bots to interact with the Service
• Harass, threaten, or harm other users, landlords, or RentX staff
• Share false or misleading information
• Violate any applicable laws or regulations in Bangladesh

9. Intellectual Property Rights

9.1 The App, its content, features, and functionality are owned by RentX Technologies Ltd. and are protected by copyright, trademark, and other intellectual property laws.

9.2 The RentX name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of RentX Technologies Ltd.

9.3 You may not use such marks without our prior written permission.

9.4 You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes.

10. Privacy Policy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.

11. Disclaimer of Warranties

11.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

11.2 RENTX DOES NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE
• DEFECTS WILL BE CORRECTED
• THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS

11.3 RENTX IS NOT RESPONSIBLE FOR:

• BANK TRANSACTION FAILURES
• LANDLORD DISPUTES
• MERCHANT PRODUCTS/SERVICES
• TECHNICAL ISSUES WITH YOUR DEVICE OR INTERNET CONNECTION

12. Limitation of Liability

12.1 TO THE MAXIMUM EXTENT PERMITTED BY BANGLADESHI LAW, RENTX SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA

12.2 RENTX'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO RENTX IN THE PAST 6 MONTHS, OR 1000 BDT, WHICHEVER IS LESSER.

13. Indemnification

You agree to indemnify, defend, and hold harmless RentX Technologies Ltd., its directors, employees, and affiliates from any claims, liabilities, damages, losses, costs, expenses, or fees arising from:

• Your violation of these Terms
• Your use of the Service
• Your interaction with Landlords or Merchants
• Your violation of any third-party rights

14. Termination

14.1 RentX may suspend or terminate your access to the Service:

• For violation of these Terms
• For fraudulent or illegal activity
• For prolonged inactivity (typically 12 months)
• If required by law

14.2 Upon termination:

• Your right to use the Service ceases immediately
• Any earned reward points may be forfeited
• You must uninstall the App

15. Modifications to Terms

15.1 RentX reserves the right to modify these Terms at any time.

15.2 We will notify you of changes via:

• In-App notifications
• Email (if provided)
• Updated "Last Updated" date

15.3 Continued use of the Service after changes constitutes acceptance of modified Terms.

16. Governing Law and Dispute Resolution

16.1 These Terms shall be governed by and construed in accordance with the laws of Bangladesh.

16.2 Any disputes shall first be attempted to be resolved through amicable negotiations.

16.3 If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Dhaka, Bangladesh.

17. Force Majeure

RentX shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation facilities, fuel, energy, labor or materials, or Internet/telecommunication failures.

18. Third-Party Services

The Service may contain links to third-party websites or services (Partner Banks, Merchants, etc.). RentX is not responsible for the content, privacy policies, or practices of any third-party services.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RentX regarding the Service, superseding any prior agreements.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.

21. No Waiver

Failure by RentX to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Acknowledgement

BY USING THE RENTX APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. YOU ALSO CONFIRM THAT YOU HAVE THE LEGAL CAPACITY TO ENTER INTO THIS AGREEMENT.

These Terms are available in Bengali upon request. In case of any discrepancy between the English and Bengali versions, the English version shall prevail.
